These Terms of Service (“Terms”) govern your access to and use of the website located at steelshiredesign.com and all pages, content, and features hosted on that domain (collectively, the “Site”), operated by Steel Shire Design, LLC (“Steel Shire Design,” “we,” “our,” or “us”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use the Site.

1. Scope of These Terms

These Terms apply solely to your use of the Site as a visitor — including browsing our pages, submitting contact or demo request forms, and subscribing to our email newsletter. These Terms do not create any client, licensing, or service relationship between you and Steel Shire Design.

1.1 These Terms Do Not Govern Our Solutions or Client Relationships

These Terms govern the public marketing and informational website only. They do not govern your access to, or use of, any of our software products or solutions, including but not limited to Skyray, Arpium, Cobra, Havoc, Blackbird, Arsenal, and Steel Nexus (collectively, the “Solutions”).

Once you become a client of Steel Shire Design, your access to and use of the Solutions is governed exclusively by the separate written agreement(s) executed between you (or your organization) and Steel Shire Design — including any master services agreement, subscription agreement, order form, statement of work, license terms, and applicable data processing terms (collectively, the “Client Agreement”). Nothing in these Terms modifies, supplements, replaces, or limits any Client Agreement, and in the event of any conflict between these Terms and a Client Agreement with respect to the Solutions, the Client Agreement controls.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Site. By using the Site, you represent and warrant that you meet these requirements. If you are using the Site on behalf of an organization, you represent that you are authorized to accept these Terms on that organization’s behalf.

3. Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any manner that violates any applicable law or regulation;
  • Access, tamper with, or use non-public areas of the Site, our systems, or the technical delivery systems of our providers;
  • Attempt to probe, scan, or test the vulnerability of the Site or breach any security or authentication measures;
  • Introduce any viruses, malware, or other harmful code, or otherwise interfere with or disrupt the integrity or performance of the Site;
  • Use any robot, spider, scraper, or other automated means to access the Site or extract data without our prior written permission;
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site without our express written consent; or
  • Impersonate or misrepresent your affiliation with any person or entity.

4. Contact Forms, Demo Requests, and Newsletter

The Site allows you to submit contact forms, request product demonstrations, and subscribe to our email newsletter. When you submit information through the Site, you agree to provide accurate and complete information. Any personal information you provide is handled in accordance with our Privacy Policy.

Submitting a contact form or demo request does not obligate Steel Shire Design to provide any product, service, demonstration, or response, and does not create any contractual relationship between you and Steel Shire Design. You may unsubscribe from our newsletter at any time using the unsubscribe link in any email we send.

5. Intellectual Property

All content on the Site — including text, graphics, logos, images, page layouts, design elements, and software — is the property of Steel Shire Design, LLC or its licensors and is protected by United States and international intellectual property laws. The names Steel Shire Design™, Skyray™, Arpium™, Cobra™, Havoc™, Blackbird™, Arsenal™, and Steel Nexus™, along with associated logos and branding, are trademarks of Steel Shire Design, LLC. You may not use these marks without our prior written permission.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your own informational and non-commercial purposes. No other rights are granted, and all rights not expressly granted are reserved.

6. Third-Party Links and Services

The Site may contain links to third-party websites, tools, or services that are not owned or controlled by Steel Shire Design. We are not responsible for the content, privacy practices, or availability of any third-party sites or services, and the inclusion of any link does not imply our endorsement. Your use of third-party sites and services is at your own risk and subject to the terms and policies of those third parties.

7. Disclaimer of Warranties

THE SITE AND ALL CONTENT ON IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, STEEL SHIRE DESIGN DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that any information on the Site is accurate, complete, or current. Any content on the Site is provided for general informational purposes only and does not constitute professional, legal, or technical advice.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, STEEL SHIRE DESIGN, LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Steel Shire Design, LLC and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site or your violation of these Terms or any applicable law.

10. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Site shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict-of-laws principles. You agree that any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Floyd County, Indiana, and you consent to the personal jurisdiction of those courts.

11. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, technology, legal requirements, or other factors. When we make material changes, we will update the “Last Updated” date at the top of these Terms. Your continued use of the Site after the updated Terms are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

12. Severability and Waiver

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

13. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Steel Shire Design regarding your use of the Site, and supersede any prior agreements between you and Steel Shire Design relating to the Site. For the avoidance of doubt, these Terms do not supersede or affect any Client Agreement governing the Solutions, as described in Section 1.1.
